not sure if you are running 32-bit xp if you can upgrade to 64-bit 7... but I do believe that 32-bit and 64-bit are both available in the same boxed version, so you should be fine in that regard...

ah, i found this in a review.although it's for a laptop, a desktop i would think,should be able to do it aswell.

    Pros: I upgraded my Toshiba laptop from 32bit Vista to4 bit Windows 7. You insert this upgrade disk and boot the machine and do a custom install. I actually did this twice on this machine because of a mistake I made and it loaded on the larger partition which is my data partition. Once I deleted the data partition it loaded of course on the proper partition. All drivers were either on the disk or on windows update. I had only to load a driver from TOSHIBA for tavp or the media buttons. My windows experiance in Vista was 3.0 on Windows 7 it is now 3.7.
    This was the slowest machine I had but not anymore. Speed difference is amazing.

    Cons: I did not buy at Newegg so I paid a little more.

    Other Thoughts: If you have any fears of 64bit software (I know I did) just check to be sure at the compatability center that your hardware and software passed the test and most do you will be happy.

for compatibility your specs are fine... yeah, I guess I did hear you can go from XP to 64-bit 7 if you basically do an "install" rather than an upgrade... I use 64-bit on mine and haven't had any issues with compatibility... except my cell phone lol... they have 32-bit drivers, but no 64-bit, so I can't bitpim into my phone yet...

well i have Win 7 installed, run's pretty good. although,my sound card is crap now. 2 tons of static, even after i installed new drives supporting Win 7. talked to a cple folk's here with creative SB X-FI cards. and they have the same issue. all support will tell u is "U have a bad sound card". BS, there was nothing wrong with our cards till we formatted.  BS

 well i tried win7 on my currant rig. with 5 or 6 blue screens and many hours of head aches, i went back too XP. i dont really trust there auto driver update as of yet. since not every thing can run with it yet. especially, with the X-FI sound card's. me and a few of my friends had major issues with the new drivers,which support's only answer was we had bad card's.......... BS after returning back too XP they didnt nor ever did have any issues.not sure if i want to test drive Win7 again anytime soon.

 added new 4gig memory,and looken at upgrading MB and CPU. VC at a later date.
